• END USER LICENSE AGREEMENT (EULA)

    This End User License Agreement (“Agreement”) governs access to and use of the Grail Corp. QuickBooks Online Integration (“Integration”) operated by Grail Corp. (“Company,” “we,” “us,” or “our”).

    By connecting your QuickBooks Online account to the Integration, you agree to this Agreement.

    1. Purpose of the Integration

    The Integration enables synchronization of certain business data between NuORDER and QuickBooks Online (“QBO”) via Intuit’s API platform.

    The Integration is intended solely for authorized business use by Grail Corp. and its approved personnel.

    2. License Grant

    We grant you a limited, non-exclusive, non-transferable, revocable license to use the Integration solely for internal business purposes in accordance with this Agreement.

    You may not:

    • Reverse engineer or attempt to extract source code

    • Resell, sublicense, or distribute the Integration

    • Use the Integration in violation of applicable laws or Intuit’s terms

    3. Third-Party Services

    The Integration connects to QuickBooks Online via Intuit’s developer platform. Your use of QuickBooks Online is governed by Intuit’s terms and privacy policy.

    We are not responsible for:

    • The availability or performance of Intuit’s services

    • Changes to Intuit’s APIs

    • Data loss caused by third-party platforms

    4. Data Access and Authorization

    By authorizing the Integration, you grant us permission to access, retrieve, and transmit accounting data necessary to perform synchronization functions.

    We access data using secure OAuth authorization provided by Intuit. We do not store QuickBooks login credentials.

    5. Data Accuracy Disclaimer

    While we take reasonable measures to ensure proper synchronization, we do not guarantee:

    • Accuracy of transferred data

    • Continuous availability

    • Error-free performance

    Users are responsible for reviewing and validating accounting records.

    6. Limitation of Liability

    To the maximum extent permitted by law, Grail Corp. shall not be liable for:

    • Indirect or consequential damages

    • Lost profits or data

    • Accounting discrepancies resulting from synchronization errors

    Total liability shall not exceed the amount paid (if any) for use of the Integration.

    7. Termination

    We may suspend or terminate access to the Integration at any time, including for violation of this Agreement or misuse of the service.

    You may discontinue use at any time by disconnecting the Integration within QuickBooks Online.

    8. Modifications

    We may update this Agreement from time to time. Continued use of the Integration after updates constitutes acceptance of the revised terms.

    9. Governing Law

    This Agreement shall be governed by the laws of the State of Minnesota, without regard to conflict of law principles.
